Atrios – Company Terms & Conditions

These Terms & Conditions ("Terms") govern the use of Atrios' services by any company or representative thereof ("Company"). By engaging with Atrios, Company agrees to be bound by these Terms.

1. Scope of Services

Atrios operates a relationship-based service that connects companies with curated introductions to potential leads (each a "Match") via a trusted network of Connectors. Atrios sources, validates, and facilitates warm introductions designed to supplement traditional cold outbound methods.

2. Non-Solicitation & Non-Circumvention

a. Non-Solicitation

Company agrees that during the term of its engagement with Atrios and for 12 months thereafter, it shall not directly or indirectly engage in any separate lead generation, business development, or introduction-based agreement with any Connector introduced through Atrios. This includes any arrangement—formal or informal—where a Connector is compensated or incentivized by Company to source, introduce, or refer leads outside of Atrios.

b. Non-Circumvention

Company agrees not to use any information obtained through Atrios—including Connector identities, LinkedIn data, or introduced leads—to initiate or facilitate introductions, outreach, or lead generation activities outside of Atrios' coordination. Company shall not share Connector or Match information with affiliates, vendors, contractors, or third parties in any way that enables introductions, outreach, or lead sourcing to occur without Atrios' involvement and compensation.

c. Remedies for Breach

Company acknowledges that any breach of this section will cause irreparable harm to Atrios. Atrios shall be entitled to seek injunctive relief and may claim liquidated damages of $10,000 per violation, or the greater of (i) 3x the value of the circumvented transaction, or (ii) all fees that would have been payable to Atrios had the transaction occurred through the service.

d. Pre-Existing Relationships (Connector Exclusion List)

Company may provide Atrios with a written list of individuals or entities ("Exclusion List") with whom it has a documented, pre-existing lead generation or introduction-based relationship. The Exclusion List must be submitted before or within 7 days of initial engagement with Atrios and must be supported by reasonable evidence upon request. Any Connector not included on a timely submitted and accepted Exclusion List will be subject to Sections 2a–2c.

3. Payment Terms

Atrios bills companies based on introduction and meeting activity.

Fee Structure:

  • 100% of the total fee is billed when the meeting with the lead occurs, regardless of outcome

Billing Method:

  • All charges are automatically billed to the card on file upon meeting confirmation
  • Invoices will reflect all introductions and meetings for the billing period

Disputes:

  • Company must notify Atrios in writing of any billing dispute within 5 business days of the invoice date. Uncontested charges are considered accepted.

4. Confidentiality

Company agrees to keep all information shared by or through Atrios—including Connector data, Match details, pricing structures, and proprietary workflows—strictly confidential. Company shall not disclose, duplicate, or use such information outside the scope of Atrios' services.

5. Termination

Either party may terminate this Agreement with 5 business days' notice. Company remains responsible for any outstanding fees for introductions or meetings that occurred prior to the termination date.

6. Miscellaneous

Atrios may update these Terms from time to time. Continued use of the service after any updates constitutes acceptance. These Terms represent the entire agreement between the parties regarding the use of Atrios' services.

By engaging with Atrios or submitting a payment method, Company agrees to these Terms in full.
